Estate agency: the sale catalog is property listing information. Estate agency work in Hong Kong is regulated by the Estate Agents Ordinance (Cap. 511). Before appointing anyone to handle a property transaction, check that person’s licence on the Estate Agents Authority licence list. This section is not an estate agency appointment and it is not a property contract. Estate Agents Authority: licence list

The notes below summarise, in plain language, Hong Kong rules that are relevant when people discuss tokenising a residential flat. Each note links to an official text. A summary is not the statute. If a summary and an official text differ, the official text prevails.

Securities and Futures Ordinance (Cap. 571)

The Securities and Futures Ordinance is Hong Kong’s main securities statute. Schedule 1 defines “securities” and “collective investment scheme”. A structure in which a company holds a residential unit, and other people take fractional interests and share rental income, can fall inside those definitions. Part IV restricts invitations and documents that invite the public to acquire securities or interests in a collective investment scheme, unless an exemption applies. This website does not describe how to use an exemption, and it does not invite anyone to acquire a token, a security, or a unit.

SFC tokenisation circulars (November 2023)

On 2 November 2023 the SFC published two circulars. One sets out what the SFC expects of intermediaries whose work relates to tokenised securities. The other sets out the SFC’s approach to tokenisation of investment products that the SFC has authorised. The SFC’s own page for the second circular says a later circular has replaced it, so that later circular is linked as well. Both documents are written for licensed intermediaries. They are not a permission for this website to sell or distribute anything.

Regulated activities: Types 1, 4, 9, and Type 7 / VATP

Schedule 5 to the Ordinance lists regulated activities. Type 1 is dealing in securities, Type 4 is advising on securities, and Type 9 is asset management. Type 7 is providing automated trading services. The SFC also licenses centralised virtual asset trading platforms: a platform for security tokens generally needs Type 1 and Type 7, and a platform for non-security tokens is licensed under the Anti-Money Laundering Ordinance. This website is not a trading venue and is not licensed for any of these activities. Any future information would have to come from an SFC-licensed intermediary, not from this site.

Professional investor definition

“Professional investor” is defined in Part 1 of Schedule 1 to the Ordinance. It includes specified institutions. The Securities and Futures (Professional Investor) Rules (Cap. 571D) add further categories measured by assets or portfolios, including a portfolio threshold for an individual and higher asset or portfolio thresholds for some corporations, partnerships, and trust corporations. The figures and categories can be amended. Read the Rules for the current text. This website does not decide whether any person meets the definition. Answering “yes” on the information form is only that person’s own statement.

Anti-Money Laundering Ordinance (Cap. 615) and KYC

The Anti-Money Laundering and Counter-Terrorist Financing Ordinance requires customer due diligence and record-keeping for financial institutions and for some other businesses, including licensed virtual asset trading platforms. Licensed intermediaries use know-your-customer checks to identify the people they deal with. The forms on this website collect contact details so the operator can reply about educational material. Sending a form is not a customer-due-diligence check and does not open an account.

Personal Data (Privacy) Ordinance (Cap. 486)

The Personal Data (Privacy) Ordinance regulates the collection and use of personal data. Data should be collected for a lawful purpose related to the data user’s function, and the person should be told what the data is for, whether it is obligatory, and to whom it may be transferred. People can ask to see and correct their data. Each form on this site includes a collection statement. For an access or correction request, use WhatsApp 9739 8018.

Estate Agents Ordinance (Cap. 511)

Estate agency work in Hong Kong, including introducing people for the purchase or sale of property, generally requires a licence from the Estate Agents Authority. The sale catalog on this website is property listing information. Before appointing anyone to handle a property transaction, check that person’s licence on the Authority’s licence list. The property RWA pages are education. They are not an estate agency appointment and they are not a contract for the sale or purchase of a property.
